Due Diligence. Superior due diligence is one of the most significant ways GFS Investments adds value to transactions. We combine financial, accounting, tax, information technology, and industry expertise in a multidisciplinary investigatory effort. We look for financial statement implications and tax issues, including possible net operating loss limitations and compliance with SEC accounting regulations. Working with investors and their counsel, we help incorporate key points into documents, suggest appropriate language, and compare purchase agreement schedules and disclosures with due diligence results.
Public Offerings - GFS’ principals have been successful in working with portfolio and client companies to establish relationships with global and regional underwriters in order to complete initial and secondary public offerings. Allow GFS Investments to structure a Direct Public Offering on a Best Effort basis using a Syndicate of Investment Banking and Private Equity firms. Our corporate finance practice involves the following:
- Registered public offerings on Forms S-1, SB-2, S-3, S-4, and related forms for small business issuers.
- Regulation D private placements of debt, equity and convertible securities under Section 4(2) and Rules 504, 505 and 506 of the Securities Act of 1933.

Legal & SEC Filing. There are many law firms that specialize in corporate securities matters for public and private companies. Similar to transfer agents, the larger legal firms have geared their fees and services to the needs of large companies. Furthermore they do not concentrate on companies planning to trade on the Pinks Sheets/OTC. Our strategic partner has focused their concentration in the preparation of registration statements, secondary offerings and Securities Exchange Act reporting obligations. Experiences include meeting with executive management teams and equity investors, assisting companies regarding capital structure, drafting of private placement offering documents, reviewing venture capital investment offers and assisting companies with listing requirements.
Business Plan Preparation. After an extensive interview with management, our personnel will work with you to create a business plan that details the goals, plans, projections, and ideas of management. Not only will it give an internal reference to keep everyone on the same page, but it will also serve to show investors and financing institutions where management feels the company will be in 1, 5 or 10 years.
EDGAR Filing. Our partners provide the filing process so that issuers are able to manage all EDGAR submissions online. Proprietary software allows users to view all Edgar forms submitted to processing, the date they were submitted and the status of the form. The user can create new Edgar form submissions as well as edit, view and/or respond to Edgar forms.
Developing Relationships. Many rapidly growing, entrepreneurial minded companies turn to us because of our strong relationships in the equity marketplace and our business connections, both domestic and international. In fact, many of the Corporate Finance group's transactions come to GFS Investments as a direct result of our partners' relationships in the business community' with buyers and sellers, attorneys, underwriters, venture capitalists, banks, and other financing sources.
Mergers and Acquisitions. When it comes to mergers and acquisitions, GFS Investments looks beyond the numbers on financial statements. We take the extra steps needed to understand the financial implications of the transaction in the context of your business objectives. We keep the merger and acquisition process on track, from reviewing net asset valuations to watching for unexpected pitfalls such as hidden tax exposures, employee benefits issues, or contingent liabilities. Our services include acquisitions of operating businesses by holding companies, mergers into public shells, mergers among equals of operating companies and leveraged buyouts by both management and investors.
Business Planning. Services include direct assistance on strategic planning and development of professional Business Plans, succession planning, business and financing planning, feasibility assessment, management review, and board representation.
Turnaround Situations. GFS Investments may be engaged by the Board of Directors of a corporation who face a turnaround situation that requires a full restructuring of the corporation, its management team and its organizational and operation structure.
Succession Strategy. GFS Investments advises clients on various strategic and succession issues. Criteria
GFS Investments own goal is to select no more than 5 to 10 strong companies a year, so that it can work closely with them and truly help them as junior partners in achieving success. This is a modest goal, but will help assure that each client receives the appropriate attention to help assure their success and thus the success of GFS Investments.
GFS Investments looks for prospective Clients that meet a certain profile. These are companies that GFS Investments believes it can efficiently provide a high level of service through the employment of its expertise. The following is a generalized list of the types of clients that GFS Investments serves:
Size
Small and Medium size companies defined as having $1,000,000 to $50,000,000 in annual sales. Other minimum size requirements are established depending on the transactional work sought.
Management
Must have a strong management team in place or be close to completing the organizational structure necessary for rapid growth. The management team is the key to raising speculative funding and is best led by a person or persons with ideas, ability and a proven record of personal success. GFS Investments looks for honest, high achievers with competence, experience, good character and lots of energy, realism and commitment.
Types of Companies
Although GFS Investments does not restrict the type of company or the industry that it is in, it looks for potential clients that have innovative ideas and formulas, dazzling management techniques and imaginative products that can sell big and produce substantial profits quickly. This means a reasonable expectation of growth of gross sales of $50 to $100 million within 5 to 10 years. GFS Investments also looks for companies that have a propriety product, service or know-how which they have control over through protection patents, copyrights or trade secrets that they own or control. Companies in "hot" market areas are also more attractive because there is such a strong interest at this time from the investing public.
Stage
Although GFS Investments does not rule out very early stage companies (especially for consulting services), it looks for companies that have already incorporated and received initial "seed money;" have done their R&D and patent work where applicable, and are ready to launch a new product or innovation and need sources of capital to accomplish this.
